1. About These Terms
These terms govern the use of the Suvarna Group website at suvarnag.info and, where a separate engagement agreement has not been entered into, the provision of consulting services by Suvarna Group to its clients. Suvarna Group is a consulting practice with a registered address at 73/2 Thonglor Soi 10, Khlong Tan Nuea, Watthana, Bangkok 10110, Thailand.
By using this website or by engaging our services, you are indicating that you have read and understood these terms. If there is anything here that is unclear or that you would like to discuss before proceeding, we are glad to address that.
Where a formal engagement letter or statement of work has been signed between Suvarna Group and a client, the terms of that document will take precedence over these general terms in relation to that engagement.
2. Website Use
This website is provided for informational purposes. We aim to keep the information on it accurate and reasonably current, though we make no representations as to its completeness or suitability for any particular purpose.
The content on this site — including text, structure, and any downloadable materials — is the property of Suvarna Group. You may read and reference it for personal and professional use, but reproduction, redistribution, or adaptation without prior written permission is not permitted.
We reserve the right to modify or withdraw sections of the website without notice. Links to third-party websites are provided as a convenience; we do not endorse or take responsibility for the content of external sites.
3. Consulting Services
Consulting services are provided on the basis of an agreed scope, timeline, and fee, confirmed in writing prior to commencement. The three service categories currently offered — Operational Diagnostic, Process Improvement Engagement, and Operational Advisory Retainer — are described on our website and are subject to a project-specific agreement that sets out deliverables and working arrangements.
Our services are advisory in nature. We offer observations, analysis, and recommendations based on our experience and on the information provided to us. Decisions arising from that advice remain with the client. We do not take on operational authority or management responsibility within a client organisation.
The value of any engagement depends, in part, on the quality and accuracy of the information made available to us. We work on the understanding that the client will provide reasonable access to relevant staff, documentation, and process areas.
4. Fees and Payment
Fees are stated in Thai Baht (฿) and confirmed in the engagement agreement. Prices displayed on our website reflect our current standard rates and may be updated from time to time. The rate applicable to a given engagement is that agreed in writing at the time of confirmation.
Payment terms are specified in the engagement agreement. Where not otherwise stated, invoices are due within fourteen days of issue. We reserve the right to pause work on an engagement if invoices remain outstanding beyond their due date.
Value-added tax (VAT) will be applied where required by applicable Thai tax regulations. Invoices will indicate any applicable tax amounts separately.
5. Cancellation and Withdrawal
Either party may withdraw from an engagement by giving written notice. The consequences of withdrawal — including any refund of fees already paid or any amount owed for work completed — will be addressed in the engagement agreement. In the absence of specific terms, a reasonable assessment of work completed will form the basis for any fee settlement.
We may decline to continue or commence an engagement if circumstances arise that, in our judgement, make it impractical or inappropriate to do so. In that case, we will communicate our position as clearly and promptly as possible.
6. Confidentiality
Information shared with us in the course of an engagement — including process documentation, operational data, financial details, and staff information — is treated as confidential. We will not disclose it to third parties without the client's consent, except where required by law or regulation.
We may use anonymised and aggregated observations from our work across clients to inform our general understanding of operational patterns. No client will be identifiable from such use.
We ask that clients treat our working methods, frameworks, and any written materials we provide — including process maps, diagnostic notes, and advisory correspondence — as confidential to the engagement. These materials are intended for internal use by the client organisation.
7. Intellectual Property
Materials we produce in the course of an engagement — including written reports, process maps, and implementation plans — are intended for the client's use and may be used freely within the client organisation. Sharing them externally or publishing them requires our prior written agreement.
The methodologies, frameworks, and general approaches we bring to an engagement remain our intellectual property. The delivery of an engagement does not transfer ownership of our underlying methods to the client.
8. Limitation of Liability
Our services are advisory. We accept responsibility for conducting our work with reasonable skill and care. We do not accept responsibility for outcomes that depend on decisions made by the client on the basis of our recommendations, nor for circumstances outside our knowledge or control at the time of the engagement.
To the extent permitted by Thai law, our aggregate liability for any claim arising from a given engagement will not exceed the fees paid by the client for that engagement.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
9. Governing Law
These terms, and any engagement agreement concluded under them, are governed by the laws of Thailand. Disputes that cannot be resolved through direct discussion will be referred to the courts of Bangkok, Thailand.
We would ordinarily prefer to address any concerns through conversation before any formal process. If something is not working as it should, we welcome the opportunity to discuss it directly.
10. Amendments
We may update these terms from time to time. Where changes are material, we will update the effective date shown at the top of this page. Continued use of our website or services after an update constitutes acceptance of the revised terms.
